These Terms and Conditions ("Terms") govern your use of the services provided by Mariana Escamilla LLC ("Company," "we," "us," or "our"), a limited liability company registered in the State of California, with its principal place of business at 500 S Poinsettia Ave, Compton, CA 90221. By engaging our services or accessing this website, you agree to be bound by these Terms.

1. Services

The Company provides digital marketing services including but not limited to: traffic arbitrage, paid advertising management (Google Ads, Meta Ads, TikTok Ads), website and application development, and digital monetization consulting. The specific scope of services will be defined in a separate written agreement or statement of work between the Company and the client.

2. Acceptance of Terms

By accessing this website or engaging the Company's services, you confirm that you are at least 18 years of age, have the legal authority to enter into binding agreements, and agree to comply with these Terms in their entirety. If you do not agree to these Terms, you must not use our services or this website.

3. Client Responsibilities

Clients are responsible for providing accurate information required to perform services, maintaining active and funded accounts on third-party advertising platforms where applicable, ensuring that all content, offers, and products advertised comply with applicable laws and the policies of the relevant advertising platforms, and promptly communicating any changes to business operations that may affect campaign performance or compliance.

4. Intellectual Property

All work product created by the Company in the course of providing services — including but not limited to creative assets, campaign structures, landing pages, code, and strategic frameworks — remains the intellectual property of the Company until full payment has been received. Upon receipt of full payment, ownership of deliverables transfers to the client as specified in the applicable agreement. The Company retains the right to use anonymized performance data and general methodologies for internal research and development purposes.

5. Payment Terms

Payment terms are as set forth in individual service agreements. Unless otherwise agreed in writing, invoices are due within 15 days of issuance. Late payments may be subject to a late fee of 1.5% per month on the outstanding balance. The Company reserves the right to suspend services for accounts that are more than 30 days past due.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives the termination of any service agreement. The Company will not disclose client-specific campaign data, financials, or strategies to third parties without written consent.

7. Limitation of Liability

The Company makes no guarantee of specific revenue outcomes, return on ad spend, or campaign performance. Digital advertising results are inherently variable and depend on factors outside the Company's control, including platform algorithm changes, market conditions, and client-side conversion performance. To the maximum extent permitted by law, the Company's total liability for any claim arising from services shall not exceed the total fees paid by the client in the three months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Mariana Escamilla LLC and its members, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

9. Termination

Either party may terminate a service agreement with 30 days' written notice. The Company may terminate immediately if the client violates platform policies, engages in fraudulent activity, or fails to make payment. Upon termination, the client remains responsible for fees accrued up to the termination date.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted to this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
